I held off upgrading to Win 7 for quite a while. There are a couple of things that I don't like about it but it is very smooth and works great with editing software.
I have Ultimate 64bit on two machines. I just did two builds and have not updated my signature but my new x58 box has 24gigs of ram on board and I don't have issues. My other machine has 8 gigs. What I am saying is ram is the key. I was running 4gigs with my XP with the pae switch activated with no problems either.
You might want to consider moving to Win 7. Just for the support that Steve was referring to. Also, everything is starting to move towards 64bit. It isn't there yet, but, it is starting to pick up steam. More than likely the next version of Edius will move to just support Win 7 and Win 8 when it is released as well as Vista.
Win XP SP3 was a very solid platform. Notice, I said was. I get the same stability out of Win 7 SP1.
If you are running on a network, I find Win 7 very, very easy to use in a home network. It is almost brainless...almost

Well look at development a Schedule a path to keep support.
Example our current version of EDIUS 3D preview has moved to support windows 7 only.
NEO 3 Windows 7
This could be an indication where things are going. I would always run an editing application on a supported OS.

I was using XP 32 SP3 up until recently on 2 machines. Works great. I think there were a couple of things added to SP3 that made things smoother.
Have you loaded SP3 and it didn't run well? Or, can't you get it to install?
What is the error that you are getting?

I know it says network, but it works for me. Are you trying to update by way of windows update? If so, try the download.
I never updated anything by way of Windows update past the original installation.
